These Terms of Service govern your access to and use of the AI Empowered Devs website, portal, community, events, content and related services operated by Lumica Soft Ltd. ("Lumica Soft", "we", "us", or "our").

By applying to join, accessing, purchasing, registering for or using any part of AI Empowered Devs, you agree to these Terms. If you do not agree, do not use our services.

2.             What These Terms Cover

- live and recorded events

- resources, materials and downloads

- any other services or features we provide under the AI Empowered Devs brand

3.             Eligibility

You may use our services only if:

- you can legally enter into a binding agreement

If you are joining on behalf of a company or other organization, you confirm that you have authority to bind that organization to these Terms.

4.             Membership Applications and Access

Some parts of AI Empowered Devs may require an application, approval, registration, payment or invitation.

We may accept or reject any application at our discretion.

Submitting an application does not guarantee admission.

We may limit membership, access levels, features, event seats or community participation based on capacity, fit, behavior, non-payment, security concerns or business reasons.

You are responsible for:

- all activity under your account

- notifying us promptly if you believe your account has been accessed without permission

We may suspend or restrict access if we suspect unauthorized use, fraud, abuse, account sharing or security risk.

6.             Community Standards and Acceptable Use

You agree to use AI Empowered Devs in a lawful, respectful and good-faith way.

You must not:

- break the law or encourage others to do so

- harass, threaten, abuse, defame or discriminate against others

- post or share unlawful, infringing, misleading, obscene or harmful content

- post private, confidential or sensitive information you do not have the right to share

- scrape, harvest, copy or export member data, directories, emails, or other information

- use the community for spam, unsolicited promotion, lead generation, cold outreach or mass messaging

- impersonate another person or misrepresent your identity, affiliation or authority

- interfere with the operation, security or integrity of the website, portal, or community

- introduce malware, harmful code, bots or abusive automation

- attempt to bypass access controls, moderation decisions or technical restrictions

- reproduce, resell, redistribute or commercially exploit paid or private community content unless we explicitly allow it in writing

- upload, post, transmit, or distribute content that is false, intentionally misleading, defamatory, -invasive of another person’s privacy, pornographic, obscene, or otherwise seriously offensive

- upload, post, transmit, or distribute content that promotes racism, hatred, violence, or physical harm against any person or group

- upload, post, transmit, or distribute content that is harmful to minors

- upload, transmit, or distribute software, code, files, or links intended to damage, disrupt, monitor, intercept, or gain unauthorized access to any system, device, network, or data

You must also follow our Community Rules and any event-specific or feature-specific rules we publish.

We may review Member Content, investigate suspected breaches of these Terms and take any action we consider appropriate to protect the community, our members, third parties, or our business. This may include removing or modifying content, limiting features, suspending or terminating access, or reporting the matter to relevant authorities where appropriate.

7.             Member Content

"Member Content" means any content you submit, post, upload, share, send or otherwise make available through AI Empowered Devs, including messages, comments, files, code, prompts, feedback and profile information.

You keep ownership of your Member Content.

By posting or submitting Member Content through our services, you give us a non-exclusive, worldwide, royalty-free, fully paid license to host, store, reproduce, adapt, modify, distribute, publish, display, perform, and otherwise use that content, and to allow our service providers to do the same on our behalf, solely as needed to operate, provide, improve, moderate, promote, archive, and support AI Empowered Devs.

To the extent permitted by law, you also waive any moral rights or similar rights that would prevent us from using your Member Content in the ways described above.

You confirm that:

- you own your Member Content or have the necessary rights to share it

- your Member Content does not violate any law or third-party rights

- your Member Content does not breach confidentiality obligations you owe to an employer, client, customer or other third party

We are not responsible for Member Content posted by users.

We may remove, delete, edit, restrict, or disable access to Member Content at any time, with or without notice at our discretion.

You are solely responsible for keeping your own backup copies of any Member Content you want to preserve.

8.             Feedback

If you send us suggestions, ideas, feedback, feature requests, or improvement proposals, we may use them without restriction or compensation to you.

9.             Intellectual Property

All rights in AI Empowered Devs, including our brand, website, portal, design, materials, resources, recordings, event content, text, graphics, downloads, curriculum and other content we provide, belong to us or our licensors and are protected by applicable intellectual property laws.

We give you a limited, personal, non-exclusive, non-transferable, revocable right to access and use the service for its intended purpose and subject to these Terms.

You may not sell, rent, lease, sublicense, transfer, assign, distribute, host, reproduce, republish, or otherwise commercially exploit any part of AI Empowered Devs or any content, materials, recordings, resources, or downloads we provide, unless we expressly allow it in writing.

10.        Events, Recordings and Educational Content

AI Empowered Devs may include live sessions, workshops, webinars, office hours, recordings, guest sessions, templates, examples and educational materials.

We may record live sessions, events or parts of the community for operational, educational, quality, security or promotional purposes, subject to our Privacy Policy.

By participating in recorded sessions, you acknowledge and agree that recordings may include your name, profile, voice, image, chat messages, questions, comments, and shared content where relevant to the session.
We may use recordings of community meetings, live sessions, workshops, or events, in whole or in part, for educational, operational, archival, and promotional purposes, including sharing excerpts on our website, landing pages, emails, and social media channels. We may edit, shorten, caption, reformat, excerpt, combine, or otherwise adapt recordings for replay, documentation, marketing, or promotional use.

Unless required by applicable law, we are not obligated to edit, remove, delete, re-record, or stop using recordings or related content simply because you participated in the session or appear in the recording.

We do not guarantee any specific outcome, including hiring, career growth, productivity gains, business results, revenue, or technical results.

11.        Fees, Billing, Renewals and Taxes

Some services may be free and others may require payment.

If you purchase a paid membership, event, program, or other offer, you agree to pay all fees shown at checkout or otherwise agreed in writing.

Unless we explicitly state otherwise:

- fees are charged in the currency shown at checkout

- taxes may apply where required

- your purchase may renew automatically if presented as a recurring subscription

- you authorize us and our payment providers to charge the applicable fees using your chosen payment method

You are responsible for keeping your payment information current.

If your payment fails, we may retry payment, suspend access, or cancel your membership or purchase.

12.        Cancellations and Refunds

Your cancellation and refund rights depend on the specific offer you purchased and any terms shown at checkout.

If a specific offer includes separate refund terms, those terms apply in addition to these Terms.

Unless a different refund policy is clearly stated for a particular offer:

- memberships and digital-access purchases are generally non-refundable once access has been granted

- event tickets may be non-refundable unless we cancel the event or state otherwise

- you may cancel future renewals at any time before the next billing cycle

- cancelling stops future charges but does not automatically refund past charges

If EU consumer withdrawal rights apply to your purchase, and you expressly request immediate access to digital content, digital services, or membership benefits before the withdrawal period ends, you acknowledge that your right of withdrawal may be lost or reduced once performance begins, to the extent permitted by applicable law.

Nothing in these Terms removes rights that cannot legally be excluded under applicable consumer law.

13.        Changes to Services, Features and Pricing

We may update, change, suspend, replace, or discontinue any part of AI Empowered Devs, including features, events, formats, community areas, experts, content, availability and technical setup.

We may also change prices for future billing periods or future purchases.

If we make a material change to an active paid subscription, we will use reasonable efforts to give notice before the change takes effect.

We are not liable for changes made for security, legal, technical, operational, or business reasons.

14.        Suspension and Termination

We may suspend, restrict or terminate your access immediately, with or without notice, if:

- you breach these Terms or our Community Rules

- you fail to pay applicable fees

- we suspect fraud, abuse, account sharing, or security risk

- your conduct creates risk for other members, third parties, or our business

- we are required to do so by law

- we decide to close or restructure part or all of the service

If your access is terminated for breach, abuse, or misconduct, you are not entitled to a refund unless required by law.

You may stop using the service at any time.

17.        Disclaimers

To the maximum extent permitted by law, AI Empowered Devs is provided on an "as is" and "as available" basis.

We do not guarantee that:

- the service will always be available, uninterrupted, error-free, or secure

- the service will meet your expectations or specific needs

- content from us, members, or guests will always be accurate, complete, current, or suitable for your purposes

- any community interaction, opportunity, introduction, or advice will lead to any particular result

We may monitor, review, moderate, or remove content and links shared through AI Empowered Devs, but we do not guarantee that all Member Content, messages, files, comments, or shared links will be accurate, lawful, safe, harmless, available, or suitable for your use.

You interact with other members and third-party links at your own risk.

You are responsible for how you use information, ideas, code, prompts, workflows, or materials obtained through the service.

Each member is solely responsible for their own Member Content and their interactions with other users.

We are not responsible for disputes, losses, damages, claims, or harm arising from Member Content, member interactions, or reliance on content shared by other users.

If there is a dispute between you and another user, we are under no obligation to become involved.

18.        Limitation of Liability

To the maximum extent permitted by law, Lumica Soft and its directors, officers, employees, contractors, partners, affiliates, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, contracts, goodwill, data, or opportunities arising out of or related to your use of, or inability to use, AI Empowered Devs or any content.

To the maximum extent permitted by law, our total aggregate liability to you for any claim arising out of or relating to the service or these Terms will not exceed the greater of:

- the total amount you paid us for the relevant service during the 12 months before the event giving rise to the claim, or

- EUR 100

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

19.        Indemnity

You agree to indemnify and hold harmless Lumica Soft and its directors, officers, employees, contractors, partners, affiliates and licensors from and against claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or related to:

- your misuse of the service

- your Member Content

- your breach of these Terms

- your violation of any law or third-party rights

20.        Governing Law and Disputes

These Terms are governed by the laws of Bulgaria.

We prefer to resolve disputes first through good-faith communication. If you have a concern, contact us at [email protected] and we will try to resolve it informally.

If a dispute cannot be resolved informally, the competent courts of Bulgaria will have jurisdiction.

We may update these Terms from time to time.

By continuing to use the service after updated Terms become effective, you agree to the updated Terms.
